Comparative Contract Law (LM-90)
a.y. 2025/2026 II Semester
The course Comparative Contract Law will start on Monday, 16 February 2026, at 4 pm (Room 304).
Lessons will take place on Monday, 4-6 pm (Room 304), and on Wednesday, 6-7.30 pm („Sala Lauree“).

The course will be divided into two parts. In the first part, object, functions and methods of Comparative law will be discussed, critically debating different approaches to the subject, with special attention to civil law and common law tradition, european private law, postmodern comparative law, and circulation of models.   
The second part will focus on sustainable contract law. Sustainability is a broad concept which has been easily abused. The course examines various perspectives, environmental, social, and economic, attempting to restore meaning to sustainability, and analyses the relationship between this concept and the law of contract, starting from the individualism of legal modernity, and passing through the fair contracts.

For attending students didactic materials will be distributed during the course, and made available on the e-learning platform.
Exam: The final exam will consist of an oral exam on the topics covered by the course.
Students who have attended lessons regularly will be allowed to submit only a dissertation on a topic at their choice.
The text suggested to not attending students is Jan M. Smits, Contract Law: A Comparative Introduction, Elgar: Part 1 (Contracts) p. 3-40, Part 3 (The Contents of the Contract) p. 121-158, and Part 5 (Contractual Remedies) p. 193-244; in addition, one of these parts chosen by the student: Part 2 (Formation of a contract) p. 41-120, Part 4 (Vitiating Factors) p. 159-192, or Part 6 (Contracts and Third Parties) p. 245-260.

Il Corso inizia mercoledì 24 settembre 2025 alle ore 16 (aula 303).
Le lezioni di novembre si svolgeranno presso la Sala Lettura dell'Istituto di Diritto comparato e diritto internazionale (4. piano).
Il corso è articolato in due moduli. Il primo modulo (3cfu) vuole essere un’introduzione generale al diritto tedesco e tratterà il sistema delle fonti del diritto, l’organizzazione della giustizia, la formazione del giurista, i fondamenti del diritto pubblico e del diritto privato tedesco. Il secondo modulo (3cfu) riguarderà più specificamente il diritto delle obbligazioni e dei contratti.
Il testo di riferimento per sostenere l'esame è Robbers, Einführung in das deutsche Recht, Nomos, limitatamente alle seguenti parti:
Per la LMG 01(3cfu): Cap. A I, II, III, IV; B II; D II.
Per la L14(6cfu): Cap. A I, II, III, IV; B II; D I, II, III.
Per la grammatica sono consigliati i testi Grammatik aktiv B1+/ B2-C1, Cornelsen.
