The course aims to provide students with the managerial tools needed to construct, analysis and evaluation of the Business Plan. Therefore, will be investigated the main problems of business management, both qualitatively and quantitatively.

The course aims to analyze the issues of management human resources in the legal prospective, with special emphasis on the theoretical and pratical aspect, the case law and the most recent legislative developments.

Educational objectives

The course is aimed at providing knowledge to students on the EU Internal Market and competition policy functioning. Firstly, the rules governing the four freedoms - goods, persons, services, and capital – will be analysed in an evolutionary perspective founded on the European Court of Justice case-law. Secondly, the programme will focus on the main elements of EU Competition Law, with reference to both the regime applicable to private undertakings (cartels, abuses of dominance, merger control) and to State measures (State aids and Services of general economic interest).

The course aims to study the fundamental institutions of private law in the perspective of the sustainability, both from the point of view of the study and analysis of the notion and national and transnational sources of sustainability, and the regulation of the sustainable single market.
The course introduces the concept of sustainability; to the subjects of the sustainable single market (non-profit entities, Third Sector Entities, Banking foundations, Benefit corporation and the new horizons of listed companies); to the theory of common goods; the discipline of private autonomy (ecological contract; greenwashing; sustainability indices, remedies); sustainable finance (responsible investment, ESG standards; green bonds and social bonds); certifications; responsibility (environmental, etc.).

Acquired Knowledge
The student who has passed the exam will have acquired the understanding and structure of a specialized branch of law and the main issues of practice, as well as the analysis of the law and secondary regulation; they will also have learned the main evolutionary lines in the field of regulation of the European market and of the main institutes of private sustainability law.

Acquired skills

At the end of the course the students will have acquired the ability to build a sustainability index, to write an ecological declaration, to analyze ESG rules. Students will be able to analyze and understand the legal structure of sustainable finance products, to understand certifications, and liability rules.

The class aims to provide students with basic knowledge of topics that represent the "core" of 'International trade law', understood as a complex set of rules governing international commercial relations in private sector.
Knowledge and comprehension skills:
The aim of the course is to provide students with basic knowledge of international commercial law and to enable them to understand the basic features of commercial international transactions, with reference to international law contracts, international commercial arbitration, as well as international cooperation in transnational insolvency.

Ability to apply knowledge and comprehension:
The aim of the course is to enable the student to use the knowledge acquired in order to legally frame issues related to international commercial contracts, the resolution of commercial disputes between parties of different nationalities, as well as transnational insolvency cooperation.

Critical and judgement skills:
The aim of the course is to enable the student to acquire critical capacity and judgement with regard to the main issues of international commercial law and transnational insolvency law.

Ability to communicate what has been learnt:
The aim of the course is to enable the student to articulate the features of the regulatory framework of international commercial law, as well as of the main international commercial transactions, also with regard to dispute resolution through arbitration and cross-border insolvency matters.

Ability to pursue the study independently during one's lifetime:
The aim of the course is to enable the student to continue studying the topics of international commercial law, having acquired a basic framework of the topic, particularly with regard to sources, conflict rules, international contracting in general, international commercial arbitration and cross-border insolvency law.

Knowledge and applied ability to understand: students will be enabled to read and understand a legislative text in its legal grounds, and specifically the above mentioned Code, the relevant legal precedents and the relevant documentation (invitation to tender, process letter, tender offer, DGUE, public procurement contract).

The course aims to explore, from an employment law perspective, social sustainability with particular reference to the goals contained in the ONU 2030 Agenda. Building on the fundamentals of labor law and industrial relations, the course will cover, among others, the topics of gender equality, decent work, hybrid work, and environmental and social sustainability of business. Practical aspects arising from the emergence of new ways and organization of work and how ESG indices will affect the sensitive subject of human resource management will also be explored.

The course is for all students who have an interest in deepening knowledge of the non-profit organizations, such as organizational models of production alternative to the capitalist companies and the Public. The course will provide insights and studies about economic aspects, management, financing of non-profit organizations, including cases operational and constant references to general and special legislation.

Knowledge of the main features of the institutional legal system of the European Union as well as the basic elements of the Internal Market of rules. Students having completed the course will acquire knowledge of the essential aspects of the EU institutional order, with specific regard to the organisation and functioning of the EU institutions, competences, legal sources and system of judicial protection.

A) Knowledge and understanding

Through attending the course, students will acquire a specific preparation, in terms of the knowledge acquired and the ability to understand the complex phenomenon of maritime and air navigation. Moving in this direction, they will be confronted not only with the study of legal issues related to maritime and air mobility and its sustainability, but also with those referable to the transport infrastructure that serves such modes of spatial displacement. They will, in this way, have the opportunity to refine the knowledge acquired during the first cycle of university studies, confronting themselves with an extremely specialized disciplinary field, which, certainly, will be able to facilitate their approach to the world of research.

B) Applying knowledge and understanding
During the course, students through the analysis of multilevel and interdisciplinary legislation, jurisdictional measures and doctrinal contributions will be able to refine their ability to solve extremely technical legal problems.

Students will be able to reach a critical interpretation of normative texts and judicial measures, thanks to the knowledge acquired during the class exercises and applied. They will also be able to make judgments even in the presence of limited or incomplete information.

D) Communication skills
At the end of the course the student will be able to argue and communicate, effectively and with an appropriate lexicon, his / her reflections on the topics covered during the lessons and will have the ability to interact adequately with specialist and non-specialist interlocutors.

Thanks to the skills developed, students will be able to undertake more complex studies in the business sector in an autonomous and critical way and will also be able to plan and develop a project in compliance with the established deadlines.

By having recourse to lectures, seminars and assignments students acquire knowledge and understanding of the discipline and the capacity to apply them to concrete situations.

Knowledge and understanding – The course provides to students knowledge and understanding of the main rules and institutions of international law. In particular, it allows students to understand the regimes that govern international relations and the functioning of international organizations.

The main objective is to provide students with knowledge and understanding of the role
and impact that digital technologies have on sustainability along the economic, social, and
environmental axes, grasping their implications at the organizational and social levels.
Indeed, on the one hand, information occupies a prominent position in problem-solving
and decision-making processes in a global competitive scenario; on the other hand,
however, how this information is produced develops a non-neutral impact on the
ecosystem. Students will, therefore, be introduced to the issues of complexity, the
materiality of digital technology, and data-driven decision-making.

Educational objectives

The course aims at providing students with knowledge of the systematic elements of taxation of firms located in Italy. To this end, it is divided in two parts. The first part analyzes the fiscal discipline of day-to-day company management. The second part instead focuses on the impact of taxation law on company reorganization.

It must be noted that, given the progressive evolution of company fiscal discipline from a mere means for tax retrieval to a means for orienting and sometimes favoring firm strategic choices, this course also deals with the implication of the fiscal leverage on the most important extraordinary operations characterizing company start-up, growth and crisis.

The course themes are particularly meaningful to a formative path based on the systematic study of managerial strategies of which the course gives an evaluation under a tributary viewpoint. Special attention is therefore devoted to judicial precedents, which are analyzed as case studies in order to simulate the impact of the fiscal variable, and assess the contribution of tributary planning to the study of company dynamics.
The students who have attended the course of Business Tax Law and have passed the final examination are put in condition to understand the national system of taxation.
They will be more able to individualize the tax norms of the juridical system, to interpret them, to define the scope of their application, to understand the relationships and the mutual connections. Generally, the students should be able to make some technical opinions on fundamental matters of the material and those connected to national tax system.

The course “gestioni strardinarie” has as its object the analysis and study of most important business combinations, and describe their strategic, legal, economic and accounting striking characteristics. The course aims to provide an important contribution in the training of doctors accountants and business advisers.

Foreground:

Students who have passed the examination will be able to analyze corporate finance transactions, from the standpoint of economics and accountancy.

Acquired skills:

Students who have passed the examination will acquire the skills to pass the tests certification to practice as a chartered accountant and to play activity of counselling of professional accountancy.

In line with this objective, the course explores the main analysis models of competition, the market, resources, finance and innovation.

Applying knowledge and understanding: students will be able to process and apply the information necessary to guide the company towards the solution of strategic problems, in a systematic framework and with a broad reference horizon.

Making judgement: students will develop the ability to formulate judgments on the strategies adopted by companies and to identify new ones and evaluate complex business choices, even in the presence of limited or incomplete information.

Communication skills: students will develop the ability to communicate specific skills on models and tools for strategic analysis of the company system and illustrate the process of elaboration of company strategies and hypothesise business development models to specialist and non-specialist interlocutors.

Learning skills: students will be able to collect data and valuable information for interpreting complex business strategies and phenomena and start, with a high degree of autonomy, a continuous updating process in the context of strategic analysis of business decisions.

The students must know the principles that you/they preside to the operation of the groups of firms and the other forms of cooperation among undertaken. They will also have to know the concept of local and global market and the rules from which they are governed.

The students must be endowed with the tools technical scientific that will allow them to understand the strategies and the behaviors of the firms in the realities of market in which they operate. They must know the activities of the national Authorities and European Antitrust. Besides they must be able to analyze, through the data technician bookkeeping commonly to disposition, the social value of the group.

To provide fundamental principles of multidimensional statistics for the study of complex phenomena at an exploratory non-probabilistic level. To learn the processes aimed at reducing the quantity of information by creating global synthetic indicators or multidimentional classification models. To experiment such methods in real data matrices in accordance with the data mining approach.

At the end of the course the student will be able to elaborate complex multidimentional data systems deriving from different types of databases. He will be able to choose the data mining technique more suitable to the analysis objective and to the type of data: quantitative variables as well as categorical variables (structured qualitative data) and textual data (unstructured qualitative data).

The course aims at providing students with knowledge of the systematic elements of taxation of firms located in Italy. To this end, it is divided in two parts. The first part analyzes the fiscal discipline of day-to-day company management. The second part instead focuses on the impact of taxation law on company reorganization.

It must be noted that, given the progressive evolution of company fiscal discipline from a mere means for tax retrieval to a means for orienting and sometimes favoring firm strategic choices, this course also deals with the implication of the fiscal leverage on the most important extraordinary operations characterizing company start-up, growth and crisis.

The course themes are particularly meaningful to a formative path based on the systematic study of managerial strategies of which the course gives an evaluation under a tributary viewpoint.
