Objectives



Knowledge and understanding: students will be able to understand the main institutions dealing with contract law and, in particular, business contracts. In addition, they will be able to consider these institutions with reference to the modern digital economy which, among other things, affects the manner in which the contract is concluded, the content and the object of this.
Applying knowledge and understanding: the students will be able to apply the general notions of contract law and, in particular, to distinguish the various types of contracts, as well as to evaluate the events of the deed, such as the conclusion, the invalidities and the ineffectiveness, the resolution.
Making judgement: students will develop a critical perspective on legal issues, and an ability to reflect on orientations of doctrine and jurisprudence.
Communication skills: students will develop the ability to discuss legal problems, using the appropriate conceptual categories and the technical language of the sector.
Learning skills: students will develop an aptitude for legal reasoning, and will acquire the functional base for the study of other subjects in the disciplinary field concerning negotiation acts.

Programme

The course concerns the study of the discipline of the contract in general contained in the fourth book, title II of the civil code, in the context of the modern digital economy and the new techniques for concluding and executing the agreement.
In particular, the study of the following topics is required:
 General notion of contract and private autonomy.
 Pre-contractual liability.
 Essential elements of the contract.
 How to conclude the agreement.
 Click-wrap and browse-wrap contracts.
 Contracts entered into by electronic agents.
 Digital signature and other modalities of the electronic declaration. Signature of legal entities
 Effectiveness, interpretation, integration of the contract.
 Conditions.
 Penalty clause and deposit.
 Representation.Rapresentation of legal entities
 Contract for person to be appointed and contract in favor of third.
 Transfer of the contract.
 Simulation.
 Disability.
 Termination of the contract.
 Impossibility to occur and excessive onerousness.
 Business contracts and company contracts.
 Financial and operational leasing contract.
 Sale and rental of a company. The circulation of legal relationships.
 Sale of corporate equity investments.
