Course objectives

General objectives The “Contracts and Responsibilities” course aims to enable students to learn the fundamental notions of contract law and civil liability, not only from a national, but also from a European and international perspective. The knowledge of the fundamental institutes presupposes numerous methodological choices, to the completion of which will be dedicated the first part of the course, in order to allow the acquisition of all the necessary tools to interpret the contractual texts and understand the functioning of the legal syllogism, so as to identify also any responsibilities. Liability is understood not as a synthesis of specific duties, but as a general principle according to which any event detrimental to an interest protected by the legal system is civilly unlawful, according to the precept of neminem laedere. Particular attention will be paid to the law of contracts in general and to responsibility, determining institutes in the training of both the professional with managerial functions and those who, wanting to continue their studies, intend to acquire skills for carrying out the activities of auditors and business professionals. Central, therefore, on the one hand, the role of legal circulation with inter vivos tools to which the law entrusts the production and exchange of goods and services, on the other hand, the rules and principles that make up the system of civil liability, in so far as it meets the requirements of justice, remuneration or distribution, consistent with the current economic and social framework. Specific objectives Knowledge and understanding: The “Contracts and Responsibilities” course provides students with the knowledge of specific legal institutes on the subject of contracts and civil liability. In particular, it allows the student to acquire the ability to identify the most appropriate and compliant solution to the principles and values of our legal system in identifying the discipline applicable to the specific case. Thanks also to the participation in the classroom of Italian and foreign experts and teachers of the sector. Application skills: Through the performance of classroom exercises and study of practical cases, the “Contracts and Responsibilities” course allows students to be able to apply the institutional notions, to interpret a law text in contract matters, to verify the legal consequences of a certain conduct of private individuals, to distinguish the different forms of liability. It allows students to understand the main contractual tools of legal circulation, evaluating in relation to the individual hypotheses of each case, which of the tools should be considered preferable in order to meet the needs that, from time to time, arise, identifying, in this way, also the differential traits in the choice of one tool rather than another. At the end of the course students will acquire the necessary skills to make an elementary legal opinion private on issues related to contract law and civil liability. Critical thinking and judgement: The contents and methods of conducting the “Contracts and Responsabilities” course allow you to improve and increase the analytical skills of the concepts and the legal technical problems that may arise, in practice, in the performance of the professional activity. The course aims to develop the skills of understanding and legal reasoning, favoring the critical and judgment skills of the individual student. Communication skills: The “Contracts and Responsabilities” course aims to strengthen the skills of oral presentation, with particular reference to the acquisition of greater command of the technical terms of the legal language. Learning skills: The “Contracts and Responsabilities” course guarantees the acquisition of a high level of autonomy in the management of the study and one’s own learning. This is made possible through the active involvement of students during lessons, practical applications of what has been learned and exercises on concrete and current cases.

Prerequisites
Se requiere un buen conocimiento del italiano escrito y oral. Es necesario un conocimiento adecuado de las Instituciones de Derecho Privado. Una aptitud elemental para el uso de las herramientas de la lógica y la retórica es ventajosa en la formulación de conceptos y modos de expresión propios de la cultura jurídica. Lengua extranjera fundamental: español, debido a las frecuentes comparaciones con el Derecho iberoamericano. Además, durante el curso se impartirán seminarios de profundización en Derecho español. Aunque no es estrictamente necesario, un conocimiento básico del latín es útil debido a la frecuente referencia a expresiones transmitidas por el Derecho romano. Frequency
Se recomienda encarecidamente la asistencia a clase. En cualquier caso, sólo los alumnos que asisten a clase pueden optar a las evaluaciones intermedias y de exención. Para ser considerado asistente, es necesario haber participado en las actividades y haber asistido al menos al 75% de las actividades lectivas. La asistencia será registrada por el profesor, también por medio de la ficha.
