Course program
As it is known, in the Italian law system as Commercial Law is intended a larger set of issues than those in the Common law system. Thus, it is impossible a precise translation in English; anyway, it is possible to signal that the course has as object the learning of:
Business an Enterprise law (18 hours): the Enterprise and its several forms (small, medium and big enterprises; agricultural and commercial enterprises); general and special rules regarding the enterprises.
Business Organizations Law (30 hours): Companies and partnerships in general; Partnerships; Limited liability companies; Companies limited by shares; Co-operative companies (notes).
Prerequisites
Basic knowledge of obligations and contracts law.

In any case, for the preparation of the exam, any updated university-level manual can be used.
The constant consultation of the legislative texts (above all, the civil code) relating to the exam themes and in an updated version is FUNDAMENTAL.
Teaching mode
Teaching will be carried out as frontal lessons. In accordance with each thematic module, students will be given practical written/oral tasks to solve in the classroom as well as sentences by national and /or european Courts, to discuss in the classroom. In this way students will be able to use the knowledge acquired to relate concrete cases to the abstract ones described by the legislator, choose the appropriate discipline and solve a concrete problem, so reproducing the activities that all interpreters of the law carry out every day.
Frequency
Attendance on regular basis, although not mandatory, is recommended in order to achieve the expected learning outcomes.
Exam mode
Written (optional) and oral (mandatory) exam. The optional written exam will last two hours and it will take place in the middle of semester; according to the contents of the course, the written exam will include two short text answers and three legal cases solution. The oral exam will take place within the exam session, it will last 20/30 minutes and it will include 3/4 questions. To pass the exam, it is necessary to achieve a good knowledge of the core subjects of commercial law. To obtain higher or even top grading, students are required to achieve a deep knowledge of commercial law, to be able to connect, in a consistent way, the different issues examined in the course, and to discuss, in a consistent and convincing way, controversial cases within the exam.
